1. Agreement to Terms

By accessing or using the services of XOXOXO Agency ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access our services.

2. Services

XOXOXO Agency provides digital marketing services including but not limited to:

• Search Engine Optimization (SEO)
• Pay-Per-Click Advertising (PPC)
• Social Media Marketing
• Content Marketing
• Email Marketing
• Web Design and Development

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Cooperate with reasonable requests for information and materials
• Make timely payments according to agreed terms
• Provide necessary access to websites, accounts, and platforms
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur interest charges
• Services may be suspended for non-payment
• All fees are in Australian Dollars (AUD) unless otherwise specified

5. Intellectual Property

Unless otherwise agreed:

• We retain ownership of our methodologies, processes, and pre-existing materials
• You retain ownership of your brand assets and content
• Work product created specifically for you becomes your property upon full payment
• You grant us permission to use your materials for the purpose of providing services

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid for services in the preceding 12 months
• We are not liable for indirect, incidental, or consequential damages
• We do not guarantee specific results or rankings

8. Termination

Either party may terminate services:

• With 30 days written notice
• Immediately for material breach
• Upon completion of agreed services

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes via email or through our website.
